UBA Paychap – A Product of UBA Côte d'Ivoire Powered by Qredet
Effective Date: March 1, 2026
1. Introduction
These Terms & Conditions govern access to and use of UBA Paychap, a digital payment acceptance platform offered by United Bank for Africa (UBA) and powered by Qredet Digital SARL.
UBA Paychap enables merchants and users to access Tap-to-Pay, Scan-to-Pay, QR payment, and related merchant payment services through applications, dashboards, websites, and related tools.
For the purposes of these Terms: UBA is the licensed financial institution responsible for transaction processing, settlement, and regulated financial services. Qredet Digital SARL is the technology infrastructure provider powering the platform.
By accessing or using UBA Paychap, you confirm that you have read, understood, and agreed to be bound by these Terms & Conditions. If you do not agree, you must not use the platform.
2. Definitions
- Platform / Service: UBA Paychap, including its websites, mobile applications, dashboards, APIs, and related services.
- Bank: United Bank for Africa (UBA), the licensed financial institution providing regulated banking services through the platform.
- Technology Provider: Qredet Digital SARL, the fintech company responsible for the software, platform infrastructure, and technical operations supporting UBA Paychap.
- Merchant: Any business or individual authorized to use UBA Paychap to accept payments.
- User / You: Any person or entity accessing or using UBA Paychap.
- Device: Any smartphone, tablet, computer, or internet-connected device used to access the platform.
- Third-Party Services: External providers integrated into the platform, including payment processors, KYC partners, infrastructure providers, analytics tools, and support vendors.
3. Eligibility and Use of the Service
You may use UBA Paychap only if you are legally authorized to do so and if you comply with these Terms and all applicable laws and regulations.
Use of the Service may require:
- A valid merchant or customer profile
- Successful verification and onboarding
- Compliance with banking, KYC, AML, and fraud prevention requirements
UBA and/or Qredet reserve the right to suspend, restrict, or terminate access where required for legal, regulatory, operational, or security reasons.
4. Nature of the Service
UBA Paychap is a payment acceptance platform that enables merchants to receive payments through supported methods, including QR and contactless payment channels.
The platform is provided under a white-label structure, where: UBA owns and offers the customer-facing payment service; Qredet provides the technology infrastructure powering the service.
Nothing in these Terms shall be interpreted to mean that Qredet provides licensed banking services, holds customer deposits, or acts as a financial institution. All regulated financial services, including settlement and custody of funds, are provided by UBA.
5. Merchant Onboarding and Accounts
To use the Service as a merchant, you may be required to provide accurate and complete information, including:
- Business details
- Identification documents
- Banking details
- Compliance or KYC information
You are responsible for ensuring that all information provided is accurate, complete, and kept up to date. UBA reserves the right to approve, reject, suspend, or terminate any merchant onboarding request based on its internal policies, regulatory obligations, or operational requirements.
6. License to Use the Platform
Subject to these Terms, UBA Paychap grants you a limited, revocable, non-exclusive, non-transferable right to access and use the Service solely for its intended business purposes.
You may not:
- Copy, modify, distribute, sublicense, lease, or resell any part of the platform
- Reverse engineer, decompile, or attempt to extract source code
- Interfere with or disrupt the integrity or performance of the platform
- Use the platform for unlawful, fraudulent, or unauthorized purposes
All rights not expressly granted remain reserved.
7. Payment Processing and Settlement
Transactions initiated through UBA Paychap are processed through UBA's banking infrastructure. Accordingly:
- UBA is responsible for transaction processing and merchant settlement
- Settlement timelines are determined by UBA's operational and banking procedures
- Merchants may be subject to applicable transaction fees, deductions, or service charges communicated by the platform
UBA Paychap does not guarantee uninterrupted transaction processing and shall not be responsible for disruptions caused by banking networks, telecommunications failures, third-party processors, or force majeure events.
8. Fees and Pricing
Applicable fees for use of the Service may include transaction fees and any other charges communicated by the platform or through merchant onboarding documents.
Fees may be revised from time to time, subject to notice where required. Continued use of the Service after such notice constitutes acceptance of the updated pricing.
9. Intellectual Property
UBA Paychap is a product of UBA powered by Qredet. Accordingly:
- UBA owns the branding, distribution rights, and customer-facing service position relating to UBA Paychap
- Qredet retains ownership of the underlying technology, software, platform architecture, source code, APIs, systems, and related intellectual property unless otherwise expressly agreed in writing
You may not copy, reproduce, modify, distribute, or create derivative works of the platform or any part of its underlying technology without prior written authorization.
Any feedback, suggestions, or ideas submitted regarding the platform may be used by UBA and/or Qredet without restriction or compensation.
10. Data and Privacy
Your use of the Service is also governed by the UBA Paychap Privacy Policy.
By using the Service, you acknowledge that your data may be collected, processed, stored, and shared: by UBA as the licensed financial institution; by Qredet as the technology provider; by authorized third-party service providers supporting the platform.
All such processing shall be conducted in accordance with applicable law, including data protection requirements in Côte d'Ivoire and other relevant jurisdictions.
11. Third-Party Services
The Service may rely on or connect to third-party services, including:
- Banking APIs
- Telecommunications services
- KYC providers
- Cloud hosting
- Analytics tools
Neither UBA nor Qredet shall be responsible for the acts, omissions, interruptions, or failures of third-party providers, except as required by applicable law.
12. Service Availability
UBA Paychap will use reasonable efforts to maintain platform availability and performance.
However, the Service may be temporarily unavailable due to: maintenance; upgrades; technical incidents; security events; failures in third-party systems; force majeure.
Neither UBA nor Qredet guarantees uninterrupted or error-free operation of the Service.
13. Acceptable Use Restrictions
You agree not to:
- Use the Service for illegal or fraudulent purposes
- Bypass or attempt to bypass security controls
- Interfere with system integrity or performance
- Introduce malware, viruses, or malicious code
- Impersonate another user or entity
- Use the Service in violation of applicable banking, payments, or data protection laws
Violation of this section may result in immediate suspension or termination.
14. Suspension and Termination
UBA and/or Qredet may suspend or terminate access to the Service immediately where necessary for: regulatory compliance; fraud prevention; security concerns; breach of these Terms; misuse of the Service.
You may stop using the Service at any time. Termination does not affect obligations or liabilities accrued before termination.
15. Disclaimer of Warranties
The Service is provided on an "as is" and "as available" basis.
To the maximum extent permitted by law, UBA and Qredet disclaim all warranties, whether express, implied, or statutory, including warranties of: merchantability; fitness for a particular purpose; non-infringement; uninterrupted availability; accuracy or completeness of results.
No oral or written information provided by UBA, Qredet, or their representatives shall create any warranty unless expressly stated in writing.
16. Limitation of Liability
To the maximum extent permitted by law, neither UBA, Qredet, nor their affiliates, officers, employees, contractors, or partners shall be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profit, loss of data, business interruption, or reputational harm arising out of or related to use of the Service.
Where liability cannot be excluded, it shall be limited to the amount of fees paid by you for use of the Service during the three (3) months immediately preceding the event giving rise to the claim.
Nothing in these Terms excludes liability that cannot lawfully be excluded.
17. Indemnity
You agree to indemnify and hold harmless UBA, Qredet, and their affiliates, officers, employees, and representatives from any claim, liability, loss, damage, cost, or expense arising out of:
- Your breach of these Terms
- Your misuse of the Service
- Your violation of any law or third-party right
- Any fraudulent, negligent, or unlawful act committed through your account or access credentials
18. Governing Law
These Terms shall be governed by the laws of Côte d'Ivoire.
Where relevant, they shall also be interpreted in line with: applicable banking and payment regulations; OHADA commercial principles; data protection rules supervised by ARTCI.
19. Dispute Resolution
In the event of any dispute arising out of or relating to these Terms or the Service, the parties shall first attempt to resolve the matter through good-faith negotiation.
If unresolved, the dispute may be referred to arbitration or the competent courts of Côte d'Ivoire, depending on the nature of the dispute and applicable law.
20. Changes to These Terms
UBA Paychap may revise these Terms from time to time.
Where changes are material, users will be notified through: email; in-app notice; website banner; merchant communication channels.
Continued use of the Service after the effective date of revised Terms constitutes acceptance.
